General Terms and Conditions DandyLions

2026/2027

DandyLions, registered in the Trade Register of the Netherlands Chamber of Commerce (KvK) under number 42133788, applies the following General Terms and Conditions.

Article 1. Definitions

In these general terms and conditions, the following terms have the following meanings:

Client: the natural person acting in the exercise of a profession or business, or the legal entity, that negotiates with the Contractor about awarding an assignment to perform work, or that has given the Contractor an assignment to perform work.

Contractor: DandyLions.

Work: all work for which an assignment has been given or which is performed by the Contractor on any other basis. This applies in the broadest sense of the word and in any case includes the work as stated in the assignment confirmation.

Article 2. Applicability

  1. These general terms and conditions apply to all quotations, assignments and agreements entered into by the Contractor.
  2. Deviations from these general terms and conditions must be expressly confirmed in writing by the Contractor. The applicability of the Client’s general terms and conditions, however named, is hereby expressly rejected.

Article 3. Assignments and Agreements

  1. Assignments and agreements to perform Work are concluded by written (including electronic) confirmation of the assignment or agreement by the Client.
  2. If the Client wishes to accept only part of the quotation, the Contractor is entitled not to accept the partial assignment and/or to impose additional conditions.
  3. Deviations and changes by the Client are only binding on the Contractor insofar as they have been expressly confirmed in writing by the Contractor.
  4. The Contractor’s quotations are based on the information provided by the Client. The Client guarantees that, to the best of its knowledge, it has provided all information essential for the design and performance of the Work. The Contractor will perform its services to the best of its insight and ability and in accordance with the standards of good workmanship.
  5. If, during the performance of the Work, circumstances arise that require a different approach, deviations from the original assignment may be agreed. Both the Client and the Contractor have a duty to flag this in good time, to discuss the consequences for the assignment and any (additional) costs, and to record these in writing.
  6. Notices sent by email are deemed to have been received at the moment they reach the recipient’s email address stated in the assignment confirmation, unless the sender receives a notification that the email could not be delivered. The parties will notify each other in writing without delay of any change to this email address.

Article 4. Performance of the Work

  1. After consultation with the Client, the Contractor determines which employee(s) or freelancer(s) will perform the Work. A change in the deployment of employee(s) during the assignment may take place in exceptional situations, likewise after consultation with the Client and on condition that neither continuity nor expertise is adversely affected.
  2. As part of quality assurance and support, the Contractor reserves the right to have employees or trainees of the Contractor take part in the performance of the Work, at no cost to the Client.

Article 5. Cancellation / Early Termination

  1. Cancellation or early termination must be made in writing or by email. The date of cancellation is the date of the email or the postmark.
  2. Regardless of when the Client cancels, preparatory activities already carried out will always be charged.
  3. If facts or circumstances arise that are beyond the Contractor’s control and are of such a nature that completion of the Work cannot reasonably be required, and it has been established in consultation with the Client that completion of the Work cannot be achieved, in whole or in part, through replacement, the Contractor is entitled to terminate the Work early without being obliged to compensate any damage or costs.

Article 6. Costs of Cancellation / Early Termination and/or Postponement

Cancellation or postponement of an in-company training:

  • Cancellation/postponement up to 4 weeks before the start date: free of charge.
  • Cancellation/postponement between 15 days and 4 weeks before the start date: 50% of the total fee agreed for the training.
  • Cancellation/postponement less than 15 days before the start date: 100% of the total fee agreed for the training.

Cancellation or postponement of a coaching programme or individual session:

  • Cancellation/postponement up to 48 hours before the start: free of charge.
  • Cancellation/postponement within 48 hours before the start: 90% of the session fee agreed for the coaching.
  • Cancellation/postponement or rescheduling within 24 hours, or failure to attend on the agreed date and time: 100% of the session fee agreed for the coaching.

Cancellation / postponement / early termination of other advisory work:

  • Cancellation/postponement up to 4 weeks before the start of the Work: free of charge.
  • Cancellation/postponement within 4 weeks before the start of the Work, or early termination: 100% of the agreed fee for the time already reserved for the performance of the Work within one month after the date of cancellation or early termination.

Article 7. Costs of Changes / Postponements

Changes to the dates of an in-company training where the new date falls within 13 weeks of the original date:

  • All external costs already incurred or irrevocably committed by the Contractor (including rental of venues, audiovisual equipment and external speakers) will be charged to the Client in full (100%).

Article 8. Delivery, Delivery Time and Force Majeure

  1. All delivery periods stated by the Contractor have been determined to the best of its knowledge on the basis of the information known to it when the agreement was concluded. The delivery periods will be observed as far as possible, but are not to be regarded as strict deadlines, unless expressly agreed otherwise.
  2. The Contractor is not bound by delivery periods that can no longer be met due to unforeseen circumstances or force majeure (including illness, accident or urgent family circumstances of the consultant/freelancer performing the Work) that arose after the agreement was concluded.
  3. In the event of such force majeure or illness, the Contractor is entitled to reschedule the Work (such as a training, advisory day or coaching session) to a date to be determined, or to arrange an equivalent replacement in consultation, without being obliged to pay any damages or (cancellation) costs to the Client. If any period threatens to be exceeded, the parties will consult each other as soon as possible.

Article 9. Fees and Costs of the Assignment

  1. Training: Costs are charged per half-day session (= morning, afternoon or evening).
  2. Coaching: Costs are charged per session of 1.5 hours.
  3. Other assignments: Costs for research, project management and advisory work are charged per half-day session, per hour, per deliverable or at an all-inclusive price.
  4. Deliverables and all-inclusive price: For all Work, including training and coaching, the parties may agree that costs are charged per deliverable or at an all-inclusive price. A deliverable means a result or product to be delivered, as described in the assignment confirmation, at a fixed price. An all-inclusive price means a fixed total price for the entire assignment which, unless stated otherwise in the assignment confirmation, covers all fees and all costs to be incurred by the Contractor. Work falling outside the agreed description of the deliverable or the all-inclusive assignment is considered additional work and will be discussed and recorded in writing in accordance with Article 3(5).
  5. The fee is set per assignment in an assignment confirmation. Fees may be adjusted annually as of 1 January. Fee changes do not affect ongoing assignments with a fixed term of less than six months.
  6. For long-term assignments (with a duration of more than six months), changes in fees will be communicated in writing by the Contractor to the Client at least two months in advance. In that case, the Client is entitled to terminate the agreement in writing with effect from the date on which the fee increase takes effect, provided that the Client notifies the Contractor of this in writing within 4 weeks of the notification.
  7. If and as soon as, during the term of the agreement, the cost price changes substantially as a result of government measures, the Contractor is entitled to pass on these specific costs immediately.

Article 10. Payment

  1. The method and timing of invoicing for the Work are determined in consultation with the Client and recorded in the assignment confirmation.
  2. Unless expressly agreed otherwise, the Client must pay invoices within fourteen (14) days of the invoice date. Complaints must be submitted in writing, stating reasons, within fourteen (14) days of receipt of the invoice.
  3. If payment is not made within the stated period, the Client is in default immediately, without any further notice of default being required. From the due date of the invoice until the day of full payment, the Client owes the statutory commercial interest (pursuant to Article 6:119a of the Dutch Civil Code) on the outstanding amounts.
  4. All judicial and extrajudicial costs that the Contractor must incur to collect its claim shall be borne in full by the Client. The extrajudicial collection costs amount to at least 10% of the amount claimed, with an absolute minimum of EUR 125 per outstanding invoice.
  5. The Contractor is at all times entitled, both before and after the conclusion of an agreement, to demand security for payment. In that case, the Contractor may suspend performance of the agreement until such security has been provided and/or the requested (partial) advance payment has been received.

Article 11. Confidentiality

  1. The Contractor undertakes to keep confidential all confidential information relating to the Client that has come to its knowledge in the context of the assignment.
  2. Coaching and intake conversations are treated as strictly personal and confidential. The coach or trainer will not provide any information about the content of these conversations to third parties, unless the coachee or trainee has given express written consent in advance.
  3. Confidential information means information designated as such by the Client, or information that the Contractor can reasonably understand to be of a confidential nature. Reports or records concerning the Client’s organisation will not be disclosed to third parties without express permission.

Article 12. Intellectual Property Rights and Copyright

  1. Models, techniques, instruments (including software), presentations, reports and advice used for the performance of the Work and incorporated in the result are and remain the exclusive property of the Contractor. Disclosure or distribution outside the Client’s organisation may therefore only take place with the Contractor’s prior written consent.
  2. The Client is entitled to reproduce and use documents within its own organisation, insofar as this is consistent with the purpose of the assignment. This right of use (licence) is expressly granted subject to the condition precedent that the Client has paid all outstanding invoices and financial obligations to the Contractor in full.
  3. The copyright on brochures, syllabi, project materials, course materials and proposals issued by the Contractor rests with the Contractor, unless agreed otherwise in writing.
  4. If the Client provides materials, models or other instructions for the Work, the Client bears full responsibility and liability for ensuring that these do not infringe any intellectual property rights of third parties. The Client indemnifies the Contractor against all third-party claims in this respect.

Article 13. Liability

  1. The Contractor guarantees careful and expert performance of the Work. Because the final result also depends on factors beyond the Contractor’s control, the Contractor cannot give firm guarantees regarding the expected results of the advisory or coaching work.
  2. The Contractor is only liable for direct damage that is the immediate consequence of an attributable failure in the performance of the Work, insofar as this results from a failure to exercise reasonable care and expertise.
  3. The Contractor’s liability is in all cases limited, per event (a series of related events counting as one event), to no more than the invoice value of (the part of) the assignment from which the liability arises. For assignments with a term of more than six months, liability is additionally limited to the amount invoiced over the last six months of the assignment.
  4. Any liability of the Contractor for indirect damage, including consequential damage, lost profits, missed savings or damage due to business interruption, is expressly excluded.
  5. Any claims by the Client within the meaning of this article must, on pain of forfeiture, be submitted to the Contractor in writing, stating reasons and with supporting evidence, within twelve (12) months of the discovery of the damage or within twelve (12) months of completion of the assignment concerned.

Article 14. Dissolution

The Contractor may, without being obliged to pay any compensation, dissolve the agreement with the Client with immediate effect and without judicial intervention by means of a registered letter or an email to the Client’s email address stated in the assignment confirmation, if:

  • the Client applies for a suspension of payments or for its own bankruptcy, is declared bankrupt, or if a substantial part of its assets is seized;
  • the Client ceases its business activities, decides to liquidate, or otherwise loses its legal personality;
  • the Client fails to fulfil, fails to fulfil on time or fails to fulfil properly one or more obligations arising from the agreement or these general terms and conditions, and does not fully remedy this failure within 30 days after the Contractor has given written notice of default.

Article 15. Disputes and Applicable Law

  1. Disputes arising from these general terms and conditions and/or the underlying agreements will in the first instance be resolved amicably through consultation in good faith. The Contractor will take the initiative to this end.
  2. Should this unexpectedly not lead to an amicable solution, the dispute will be submitted, to the exclusion of other bodies, to the competent court in the district in which the Contractor has its registered office.
  3. Dutch law applies exclusively to all agreements concluded with the Contractor and to all legal relationships arising from them.
  4. These general terms and conditions have been drawn up in Dutch and translated into English and Italian. In the event of any discrepancy between a translation and the Dutch text, or any dispute about their interpretation, the Dutch text prevails.
